Lam Research (LRCX) agrees to acquire Novellus Systems (NVLS) in an all-stock transaction valued at $3.3B. NVLS shareholders will receive 1.125 shares of LRCX for each of their shares, valuing NVLS at $44.42/share, or ~12.5% above its closing price today. Aetna (AET) gains 1% AH after using an 8-K to lift its 2011 EPS guidance to $5.15 from $5, and its 2012 EPS guidance to $5 from $4.80. The company also says it will have 18.4M members enrolled in medical plans at year's end, but that this figure will decline to 17.9M by the end of Q1 2012. Aetna is hosting its annual investor conference tomorrow.

Nordson (NDSN) drops 5.7% AH after posting FQ4 results. Revenue of $331M (+14% Y/Y) beat by $10.5M, and EPS of $0.81 was in-line. However, the company is guiding for FQ1 revenue of $270M-$281M and EPS of $0.54-$0.61, below a consensus of $288.9M and $0.68. Nordson and other industrial equipment makers are often seen as bellwethers for broader manufacturing-related activity.
