US Airways (LCC) seeks to file paperwork with U.S. regulators as early as next month for a proposed merger with bankrupt AMR (AAMRQ.PK), Reuters reports. LCC is said to believe a regulatory filing before rather than after reaching a deal would bolster its case as AMR's creditors compare the merits of a merger with a stand-alone restructuring plan. LCC +1.9% AH
3D Systems (DDD) -5.4% AH after announcing a $100M stock offering. Given a market cap of $1.63B as of today's close, the offering stands to dilute existing shareholders by over 6%. The 3D printer vendor says it intends to use the proceeds to finance future acquisitions, and for working capital and general corporate purposes.

Scotts Miracle-Gro (SMG) says it will fall short of its previous FY12 sales growth and earnings guidance, citing slowing consumer demand following an early start to the lawn care season in Q2. Additionally, the gardening season, which traditionally peaks in mid-to late-May, has also not met expectations. Gross margins will also disappoint, due primarily to an unfavorable product mix, unplanned distribution costs and reduced leverage of fixed costs. Shares -11% AH
